Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and SHOVLD LLC ("SHOVLD," "MyndID," "we," "us," or "our"), a Florida limited liability company, governing your access to and use of MyndID.com, the MyndID mobile and web applications, Mynd World™, MyndID Space™, MyndID Recovery, MyndID File functionality, and any related software, websites, products, features, content, or services that link to these Terms (collectively, the "Service").

MyndID™ was created by Avi Peretz and is developed by SHOVLD LLC. Rights in the MyndID brand, technology, software, file formats, methods, designs, and other intellectual property are retained by Avi Peretz and/or SHOVLD LLC, as applicable.

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, CLICKING TO ACCEPT, PURCHASING A SUBSCRIPTION, DOWNLOADING OR RESTORING A MYNDID FILE, OR USING THE SERVICE, YOU AGREE TO THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. What MyndID Is

MyndID is a personal AI and digital-identity service designed to learn from information you choose to provide through onboarding interviews, conversations, guided questions, deliberation, feedback, and other interactions. The Service may use that information to create and evolve a personalized digital representation reflecting aspects of your experiences, memories, values, preferences, relationships, knowledge, perspectives, reasoning patterns, goals, and decision tendencies (your "MyndID").

MyndID is a digital representation, not a biological copy of your brain, a transfer or preservation of consciousness, a sentient being, a legal person, or a guarantee of how you would actually think, speak, decide, or behave in any particular situation.

Marketing phrases such as "Clone Your Mind" or similar expressions describe the product concept and user experience; they do not mean that MyndID literally copies a biological mind or consciousness.

MyndID is not therapy, psychotherapy, psychoanalysis, psychiatric care, medical treatment, diagnosis, emergency care, legal advice, financial advice, investment advice, tax advice, or other licensed professional service, and does not replace professional help of any kind. If you believe you or another person may be in immediate danger or experiencing an emergency, contact emergency services. In the United States, call or text 988 for the Suicide & Crisis Lifeline or call 911 for emergencies.

2. Eligibility and Age

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is not directed to children or minors.

By using the Service, you represent and warrant that you meet these requirements and are not prohibited from using the Service under applicable law.

3. Your Account

You may need an account to use some or all of the Service. You agree to provide accurate information and keep it current. You are responsible for:

• maintaining the confidentiality of your credentials, passkeys, recovery information, and devices;
• all activity conducted through your account unless caused by our breach of duty;
• promptly notifying us of suspected unauthorized access; and
• using strong, unique credentials and reasonable security precautions.

You may not sell, transfer, rent, or share an account in a way that defeats our security or authorization controls.

4. Your MyndID and MyndID Number

A MyndID may be assigned a permanent unique identifier or MyndID Number. The identifier is intended to remain associated with the same MyndID as that MyndID evolves over time.

A MyndID Number is not a government-issued identifier, social security number, financial account number, proof of citizenship, or government identity credential. It does not establish legal identity, legal capacity, ownership of a human identity, or personhood.

We may update the visual format, technical implementation, verification methods, or supporting systems associated with MyndID identifiers while preserving continuity where reasonably practicable.

5. MyndID Files; Download, Storage, and Restore

The Service may allow you to create, download, store, preserve, or restore a portable MyndID file (a "MyndID File").

A MyndID File may contain or represent durable information that the Service has learned or stored about you. It may not contain every message, temporary interaction, system event, or other data associated with your account. You can export a password-protected copy of your MyndID, values, goals, memories, and decision history at any time (Memory → MyndID → Export MyndID), and use that same archive to restore it later.

5.1 Your downloaded copy

The copy of a MyndID File that you lawfully download is yours to possess, store, back up, and keep, subject to these Terms and the proprietary rights described below. We do not claim ownership of your personal memories, experiences, values, preferences, relationships, or other personal information merely because you use MyndID.

5.2 Proprietary technology remains ours

Your possession of a MyndID File does not transfer ownership of the MyndID software, file format, schema, encryption or signing methods, verification systems, algorithms, prompts, models, APIs, SDKs, protocols, source code, or other proprietary technology used to create, read, verify, restore, or interact with that file.

You may not reverse engineer, decompile, disassemble, extract, publish, reproduce, or create an unauthorized implementation of the proprietary MyndID File format or related technology except to the limited extent such restriction is prohibited by applicable law.

5.3 Encryption and passwords

If a MyndID File is encrypted or password protected, you are responsible for securely storing the applicable password, recovery material, device, or credentials. Strong encryption may make recovery impossible if required credentials or recovery material are lost.

We are not responsible for loss of access caused by your loss of a password, recovery key, storage device, or other credential, except to the extent caused by our failure to provide a recovery method we expressly promised and were obligated to provide.

5.4 Compatibility

We may change file formats, schema versions, encryption methods, or supported applications over time for security, compatibility, or product reasons. We will make reasonable efforts to maintain supported migration or restore pathways for official MyndID Files, but we do not guarantee perpetual compatibility with every future device, operating system, third-party product, or discontinued version of the Service.

5.5 Backups

You are responsible for maintaining your own safe copies of downloaded MyndID Files. The Service is not a substitute for a complete personal backup or archival system unless a specific paid service expressly states otherwise.

6. User Content and Your Personal Information

"User Content" means information, text, prompts, answers, conversations, recordings, images, photos, voice samples, documents, memories, stories, relationship information, feedback, and other material you provide to the Service.

As between you and us, you retain your rights in User Content, subject to rights held by other people or third parties.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, analyze, structure, summarize, transform, derive inferences from, and otherwise process User Content only as reasonably necessary to operate, personalize, secure, maintain, and provide the Service; create, update, export, restore, and verify your MyndID; provide features you request; comply with law; and exercise rights described in these Terms and the Privacy Policy.

This license does not transfer ownership of your User Content to us. Your possession of a MyndID File, and this license, do not transfer any ownership interest in MyndID's proprietary software, file format, or other MyndID IP as described in Section 17.

Unless you separately and affirmatively agree, we do not claim a right under these Terms to use the private contents of your MyndID, private conversations, private memories, photos, voice recordings, or private documents to train a generalized AI model for unrelated users. Any different optional program must be separately disclosed and consented to.

7. Information About Other People

MyndID may allow you to discuss relationships and other people in your life. You are responsible for the information you provide about third parties.

You agree not to upload or provide another person's highly sensitive information, private communications, confidential records, biometric identifiers, credentials, or other information where you do not have a lawful basis or permission to do so.

You may not create or use MyndID to impersonate, clone, simulate, publish, or commercially exploit another living or deceased person without the consent or legal authority required by applicable law and by any additional MyndID rules governing such features.

8. AI-Generated Content and Inferences

The Service uses artificial intelligence and automated systems. AI-generated responses, summaries, classifications, memories, inferences, profile elements, deliberation results, or other outputs ("AI Output") may be inaccurate, incomplete, outdated, biased, inconsistent, or different from what you intended.

You should review important information before relying on it. Where the Service allows you to confirm, edit, reject, or delete a learned item or inference, you should use those controls to improve the accuracy of your MyndID.

MyndID does not guarantee that its digital representation of you is complete or perfectly accurate, and it does not guarantee that an AI Output represents what you would actually decide, believe, remember, or say. MyndID is designed to reflect your own stated thinking back to you, not to correct it or offer independent judgment.

9. Not Medical, Mental-Health, Legal, Financial, or Other Professional Advice

MyndID is not therapy, psychotherapy, psychoanalysis, psychiatric care, medical treatment, diagnosis, emergency care, legal advice, financial advice, investment advice, tax advice, or other licensed professional service.

The Service is not intended to replace a qualified professional. Do not use MyndID to make emergency, medical, mental-health, legal, financial, safety-critical, or other high-stakes decisions without appropriate independent professional judgment.

If you believe you or another person may be in immediate danger or experiencing an emergency, contact emergency services. In the United States, call or text 988 for the Suicide & Crisis Lifeline or call 911 for emergencies.

10. Safety Systems

We may use automated or human-assisted systems to detect fraud, security threats, abuse, self-harm risks, illegal activity, or violations of these Terms. These systems are imperfect and may produce false positives or fail to identify harmful content.

We may restrict, suspend, or intervene in use of the Service where we reasonably believe necessary to protect users, other people, the Service, or our legal obligations.

11. Published Mynds and Public Features

If we offer functionality that allows you to publish all or part of a MyndID, profile, avatar, voice, story, knowledge area, or other content ("Published Mynd"), that feature will be private by default unless you deliberately choose otherwise.

Publishing does not make your underlying encrypted MyndID File public unless a feature expressly and conspicuously tells you otherwise and you affirmatively authorize it.

When you publish content, you grant us a non-exclusive license to display, host, reproduce, transmit, index, and make available the specific content and interactions you have chosen to publish for as long as the feature remains published, plus a reasonable technical period to remove cached copies.

You remain responsible for ensuring that published material does not violate privacy, publicity, copyright, trademark, confidentiality, or other rights.

We may remove or disable Published Mynds that impersonate others, violate law, infringe rights, create material safety risks, or violate these Terms.

12. Mynd World, MyndID Space, Passport, Verification, Legacy, Avatars, Agents, and Future Features

Mynd World™, MyndID Space™, MyndID Passport™, Mynd AI™, Mynd Avatar™, Mynd Legacy™, MyndID Kit™, MyndID Key™, verification, registry, recovery, legacy, avatar, agent, immersive, physical-device, and similar features may be offered now, in beta, in development, or only as future concepts.

A webpage, mockup, roadmap, waitlist, demonstration, or "coming soon" description does not create an obligation to release a feature by any particular date or at all.

Additional terms may apply to particular products or features and will become part of your agreement when you use or purchase them.

13. Physical Products and Personalized MyndID Kits

If we offer physical products such as a MyndID Kit or MyndID Key:

• product descriptions, compatibility, storage capacity, security features, and included services will be stated at purchase;
• personalized or engraved products may be non-returnable except where defective or where applicable law provides otherwise;
• shipping, customs, taxes, delivery risk, replacement, and warranty terms may be provided at checkout;
• no physical storage device is indestructible, and you remain responsible for maintaining appropriate backups; and
• possession of a device alone does not necessarily provide access to encrypted content.

Additional product-specific terms may apply.

14. Subscriptions, Billing, Renewal, and Cancellation

Some features require a paid subscription or purchase, billed on a recurring basis through Stripe, Apple, Google, or another authorized billing provider. Prices, plan features, billing periods, and taxes are shown before purchase and may change prospectively.

If a subscription automatically renews, you authorize recurring charges until you cancel. You may cancel through the method associated with the channel where you subscribed. Cancellation takes effect at the end of the current billing period and does not retroactively refund the period already paid for, unless required by law, stated in an applicable refund policy, or required by the billing platform through which you subscribed.

If you purchase through Apple App Store, Google Play, or another third-party marketplace, its payment, cancellation, and refund rules may also apply.

We may change prices or plan features on reasonable advance notice where required. Price changes do not authorize us to alter amounts already paid for a completed billing period.

15. Free Trials, Promotions, and Beta Features

If we offer a trial, promotional plan, beta, preview, or experimental feature, additional conditions displayed at enrollment apply.

Beta or experimental features may be incomplete, change without notice, contain errors, or be discontinued. Do not rely on experimental features as your sole copy of important information.

16. Acceptable Use

You may not use the Service to:

1. violate any law or regulation;
2. violate another person's privacy, publicity, intellectual-property, contractual, or other rights;
3. impersonate another person or falsely represent authorization to act for them;
4. create deceptive deepfakes, fraud, identity theft, harassment, stalking, threats, or non-consensual intimate content;
5. upload malware or attempt to compromise, overload, probe, or bypass security;
6. obtain unauthorized access to accounts, MyndID Files, systems, keys, credentials, or private data;
7. scrape, harvest, or bulk collect Published Mynds or other user information without authorization;
8. reverse engineer or extract proprietary prompts, models, schema, source code, cryptographic methods, or file formats except as permitted by law;
9. use the Service to develop or train a competing system using unauthorized access to MyndID proprietary technology or private user data;
10. circumvent subscriptions, rate limits, access controls, or feature restrictions;
11. use another person's likeness, voice, identity, or MyndID without required permission or authority; or
12. engage in conduct that materially threatens the security, availability, integrity, or reputation of the Service or its users.

17. Intellectual Property

The Service, including software, source and object code, interfaces, designs, documentation, workflows, prompts, systems, databases, compilations, trademarks, logos, MyndID File technology, proprietary file formats, MyndID Number systems, verification methods, algorithms, architecture, graphics, video, audio, and other technology or content supplied by us (collectively, "MyndID IP") is owned by or licensed to Avi Peretz and/or SHOVLD LLC, as applicable, and is protected by applicable intellectual-property and other laws. MyndID IP is distinct from — and is not transferred by — your personal information, User Content, or a downloaded copy of your MyndID File, which are addressed in Sections 5 and 6.

MyndID™, Mynd World™, and other marks displayed by us are trademarks or claimed trademarks of their respective owners. Use of ™ does not represent that a mark is federally registered.

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. No other rights are granted by implication, estoppel, or otherwise.

18. Feedback

If you voluntarily submit ideas, suggestions, or feedback about the Service, you grant us a perpetual, worldwide, royalty-free right to use that feedback to improve or develop products and services without payment or attribution, provided that this does not give us ownership of your private User Content or MyndID.

Do not submit confidential third-party information as feedback.

19. Copyright and Rights Complaints

We respect intellectual-property rights. If you believe material available through a public feature infringes your copyright, trademark, publicity, or other rights, contact support@myndid.com with sufficient information to identify the material, the right you believe is infringed, your contact information, and the action you request.

If MyndID qualifies for and elects to use formal DMCA safe-harbor procedures, designated-agent information may be published separately.

20. Third-Party Services

The Service may rely on or integrate with third-party providers, including hosting, database, authentication, AI inference, voice, image, analytics, communications, payment, app-store, and other infrastructure providers.

Third-party services may have their own terms and privacy policies. We are not responsible for a third-party service outside our control, although our handling of your personal information remains subject to our Privacy Policy and applicable law.

21. Service Availability and Changes

We may add, modify, suspend, discontinue, or replace features for security, legal, technical, business, or product reasons.

We do not guarantee uninterrupted or error-free operation, perpetual availability of a specific AI model, voice, avatar engine, operating system, third-party provider, or feature.

When practicable, we will try to provide reasonable notice of material changes that materially affect paid functionality or access to stored data.

22. Account Suspension and Termination

You may stop using the Service at any time and may use available account-deletion controls.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, abuse other users, or if suspension is reasonably necessary to protect the Service.

Where appropriate and legally permitted, we may provide notice and an opportunity to cure.

Termination does not affect provisions that by their nature should survive, including ownership, intellectual property, payment obligations, disclaimers, liability limitations, dispute terms, and licenses necessary to wind down or comply with law.

23. Data Export and Account Deletion

Where available, you may export your MyndID and delete information or your account through the Service — see Section 5 above for how MyndID File export and restore work today.

You are responsible for downloading any MyndID File or other information you wish to retain before final account deletion. Files you previously downloaded are not automatically deleted from your own devices when you delete your account.

We may retain limited information after deletion when required or permitted for legal obligations, fraud prevention, security, dispute resolution, financial records, backups, or enforcement, as described in the Privacy Policy.

24. No Guarantee of Preservation or Digital Immortality

MyndID is designed around persistence and preservation, but no technology can guarantee permanent digital existence, perpetual compatibility, or indefinite availability.

The Service does not preserve consciousness, create immortality, resurrect a deceased person, or guarantee that a future representation will accurately reproduce a person's thoughts or behavior.

Do not rely on MyndID as your sole estate-planning, historical-archive, backup, or testamentary system. Legal estate planning should be handled through qualified professionals and legally valid instruments.

25. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT AI OUTPUT WILL BE CORRECT OR SUITABLE FOR YOUR PURPOSE.

WE DO NOT WARRANT THAT:

• MYNDID WILL PERFECTLY REPRESENT YOU;
• LEARNED INFORMATION OR INFERENCES WILL ALWAYS BE CORRECT;
• THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE;
• A MYNDID FILE WILL BE COMPATIBLE WITH EVERY FUTURE PRODUCT OR DEVICE;
• DATA LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS CAN NEVER OCCUR; OR
• FUTURE PRODUCTS DESCRIBED ON OUR WEBSITES WILL BE RELEASED.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

26. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVI PERETZ, SHOVLD LLC, AND THEIR AFFILIATES, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM RELIANCE ON AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO MYNDID FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
2. ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply where prohibited by law or to liability that cannot legally be limited.

27. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SHOVLD LLC, Avi Peretz, and their affiliates, officers, members, employees, contractors, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Service, your Published Mynd or other public content, your violation of these Terms, or your infringement of another person's rights.

This obligation does not apply to claims caused by our own unlawful conduct or negligence to the extent applicable law provides otherwise.

28. Governing Law

These Terms and any dispute not subject to arbitration are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where mandatory consumer law provides otherwise.

Subject to the arbitration section below, exclusive venue for disputes will be in the state or federal courts located in Broward County, Florida, and you and we consent to personal jurisdiction there.

29. Informal Dispute Resolution

Before filing arbitration or a lawsuit, you and we agree to try in good faith to resolve the dispute informally for at least 30 days.

Send a written notice describing the dispute and requested resolution to support@myndid.com and to the mailing address listed below. We may send notices to the email associated with your account.

This requirement does not prevent either party from seeking emergency injunctive relief where necessary to protect security, intellectual property, confidential information, or prevent imminent harm.

30. Binding Individual Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small-claims court, claims seeking emergency injunctive relief, or claims regarding ownership or infringement of intellectual property, any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration, not a jury trial.

Arbitration will be administered by the American Arbitration Association ("AAA") under the applicable AAA Consumer Arbitration Rules, unless the parties agree otherwise. The Federal Arbitration Act governs this arbitration provision.

No class actions. You and we agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in a class, collective, consolidated, coordinated, or representative action, to the extent permitted by law.

30.1 Arbitration opt-out

You may opt out of this arbitration agreement by sending written notice to support@myndid.com within 30 days after you first accept these Terms. Your notice must include your name, account email, and a clear statement that you opt out of the arbitration provision. Opting out will not affect your access to the Service.

30.2 Mass arbitration procedures

If substantially similar demands are filed by or with the assistance of the same law firm, organization, or coordinated group, the parties and AAA may use batching, bellwether, or other case-management procedures permitted by the applicable rules to promote efficient resolution, without converting claims into a class proceeding.

If any portion of this arbitration provision is found unenforceable, the remainder will remain in effect to the fullest extent permitted by law.

31. App Store Terms

If you download the MyndID app from Apple App Store, Google Play, or another marketplace, you acknowledge that:

• these Terms are between you and us, not the marketplace operator;
• the marketplace operator has no responsibility for the Service except as required by its own terms or law;
• your use must comply with the marketplace's applicable terms; and
• the marketplace may be a third-party beneficiary of provisions applicable to its platform where its standard terms so provide.

32. Export Controls and Sanctions

You may not use or export the Service in violation of U.S. export-control or sanctions laws. You represent that you are not located in, ordinarily resident in, or controlled by a jurisdiction or person prohibited from receiving the Service under applicable law.

33. Changes to These Terms

We may update these Terms. If changes are material, we will provide notice as required by law, such as through the Service, by email, or by posting an updated effective date.

If a change materially reduces your rights or materially expands how we may use private MyndID content, we will provide additional notice and obtain consent where legally required.

Your continued use after the effective date of updated Terms constitutes acceptance where permitted by law.

34. Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service, subject to applicable privacy and consumer-protection laws.

35. Severability; Waiver; Entire Agreement

If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

Failure to enforce a provision is not a waiver.

These Terms, the Privacy Policy, and any product-specific terms presented to you constitute the entire agreement concerning the Service and supersede prior agreements concerning the same subject matter.
